Terms of Use

These Terms of Use constitute an agreement (this “Agreement” or these “Terms of Use”) by which each Member (as such term is defined herein) shall be bound. Failure to abide by any of the terms or conditions set forth in this Agreement shall be grounds for CraigMichaels, Inc. (the “Company”) to deny access to the Site or the Services (as such terms are defined herein). Nothing in this Agreement shall be deemed to confer any third-party rights or benefits. By accessing, viewing, downloading or otherwise using CM Connect or any webpage or feature available through CM Connect (as such term is defined herein), any information provided as part of the CM Connect services, or any related emails, newsletters or services (hereinafter collectively “CM Connect” or the “Services”), or by clicking “Join CM Connect” during the registration process, you conclude a legally binding agreement with the Company based on the terms and conditions set forth in this Agreement, and you become a CM Connect member (“Member”). If you are using CM Connect on behalf of a company or other legal entity, such entity may have a separate agreement with us, but you are nevertheless individually bound by this Agreement. If you do not agree to be bound by the terms of this Agreement, you may neither use nor access our services. The Terms of Use are subject to change by the Company at any time, effective upon posting on the Site, and your use of the Site after such posting will constitute acceptance by you of such changes.

  1. Site. The Company owns and operates a website commonly known as “craigmichaelsconnect.com” (hereinafter referred to as the “Site” or “CM Connect”).
  2. Purpose. The purpose of CM Connect is to provide a service to facilitate professional networking among Members throughout the country. It is intended that Members only connect with other Members who they currently know and/or with whom they seek to further develop a professional relationship.
  3. Use by Members. Illegal and/or unauthorized uses of the Site, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email, unauthorized framing of or linking to the Site, seeking to connect to someone a Member does not know, or to use CM Connect as a means of generating revenue through the sale of contacts or information to others may be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress. Use of the Site is with the permission of the Company, which may be revoked at any time, and for any reason, in the Company’s sole discretion. The Company may limit the number of connections you may have to other Members and prohibit you from contacting other Members through use of the Services.
  4. Unique and Bona Fide Profile. As a Member of the Site, you will create only one unique profile. As a Member you will also have your own home page consisting of access to content and tools such as your goals, community tools (i.e. discussion groups and blogs), and other services in which only Members may participate. In addition, your use of the Site must be for bona fide professional networking purposes, in order to maintain the integrity of the Site (for example, you may not become a Member solely to compile a report of competitive businesses in your area, or for research purposes). From time to time, the Company may create test profiles in order to monitor the operation of the Site.
  5. Eligibility.
  6. (a) Age and Authority. You represent and warrant that you (a) are not under the age of 18; (b) have not previously been suspended or removed from CM Connect; (c) are not a direct competitor of CM Connect; (d) do not have more than one CM Connect account at any given time; and (e) that you have full power and authority to enter into this Agreement and in doing so will not violate any other agreement to which you are a party. In addition, you must provide all equipment and software necessary to connect to CM Connect, including, but not limited to, a computer with internet access, and if the Services you select contain a mobile element, a mobile hand set or other mobile access device that is in working order and suitable for use in connection with the Services and to use any part of the Services.

    (b) Criminal History. By requesting to use, registering to use, and/or using the Site, you represent and warrant that you have never been convicted of a felony and are not required to register as a sex offender with any government entity. THE COMPANY DOES NOT CURRENTLY CONDUCT CRIMINAL BACKGROUND SCREENINGS ON ITS MEMBERS. However, the Company reserves the right to conduct a criminal background check, at any time and using available public records, to confirm your compliance with this subsection, and you hereby consent to the Company’s conducting the same without prior notice to you.

  7. Account Security. You are responsible for maintaining the confidentiality of the username and password that you designate during the registration process, and you are fully responsible for all activities that occur under your username and password. You agree to (a) immediately notify the Company of any unauthorized use of your username or password or any other breach of security, and (b) ensure that you exit from your account at the end of each session. The Company will not be liable for any loss or damage arising from your failure to comply with this provision. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. If you share your computer with others, you may wish to consider disabling your auto-sign in feature if you have linked your Windows Live ID to your CM Connect account.
  8. Indemnity. You have to indemnify us and hold us harmless from any damages, losses and costs (including, but not limited to, reasonable attorneys’ fees) related to third party claims, charges or investigations, caused by (a) your failure to comply with this Agreement, including, without limitation, your submission of content that violates third party rights or applicable laws, (b) any content you submit to CM Connect or (c) any activity in which you engage on or through the CM Connect.
  9. Payment. If you subscribe to any services that we offer for a charge, you will pay the applicable fees (including, without limitation, monthly fees for accounts) as they become due plus all related taxes and reimburse us for any collection costs and interest for any overdue amounts.
  10. YOUR INTERACTIONS WITH OTHER MEMBERS. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. YOU UNDERSTAND THAT THE COMPANY DOES NOT IN ANY WAY SCREEN ITS MEMBERS, NOR DOES THE COMPANY INQUIRE INTO THE BACKGROUNDS OF ITS MEMBERS OR ATTEMPT TO VERIFY THE STATEMENTS OF ITS MEMBERS, INCLUDING, WITHOUT LIMITATIONS, THE PROFESSIONAL BACKGROUND AND STATUS POSTED ON THE SITE BY MEMBERS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF MEMBERS OR THEIR PROFESSIONAL COMPATIBILITY WITH ANY CURRENT OR FUTURE MEMBERS. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICES OFFERED BY THE SITE, INCLUDING WITHOUT LIMITATION, AS A RESULT OF BREACH OF CONTRACT, NEGLIGENCE, UNFAIR TRADE PRACTICES, FRAUD, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER REGISTERED USERS OF THIS SERVICE OR PERSONS YOU MEET THROUGH THIS SERVICE, REGARDLESS OF WHETHER OR NOT SUCH MEETINGS WERE INITIATED, ARRANGED OR FACILITATED BY THE COMPANY. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH OTHER MEMBERS OF THE SERVICE, PARTICULARLY IF YOU DECIDE TO MEET OFFLINE OR IN PERSON. YOU UNDERSTAND THAT THE COMPANY MAKES NO GUARANTEES, EITHER EXPRESS OR IMPLIED, REGARDING YOUR ULTIMATE PROFESSIONAL COMPATIBILITY WITH INDIVIDUALS YOU MEET THROUGH THE SERVICE, OR AS TO THE TRUTHFULNESS OR ACCURACY OF STATEMENTS MADE BY SUCH INDIVIDUALS. YOU SHOULD NOT PROVIDE YOUR FINANCIAL INFORMATION (FOR EXAMPLE, YOUR CREDIT CARD OR BANK ACCOUNT INFORMATION) TO OTHER MEMBERS.
  11. Content on CM Connect

    (a) Proprietary Rights. The Company owns and retains all proprietary rights in the Site. The Site contains the copyrighted material, trademarks, and other proprietary information of the Company and its licensors. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

    (b) Reliance on Content, Advice, Etc. Opinions, advice, statements, offers, or other information or content made available through the Site, but not directly by the Company, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. The Company does not: (i) guarantee the accuracy, completeness, or usefulness of any information on the Service, or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party that appears on the Site. Under no circumstances will the Company or its affiliates be responsible for any loss or damage resulting from your reliance on information or other content posted on the Site or transmitted to or by any Members.

    (c) Forums/Blogs/Chat Rooms. CM Connect may include various forums, blogs and chat rooms where you can post your observations and comments on designated topics. The Company cannot guarantee that other members will not use the ideas and information that you share. Therefore, if you have an idea or information that you would like to keep confidential and/or don’t want others to use, do not post it on the Service. THE COMPANY AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR A MEMBER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU POST IN ANY FORUMS, BLOGS AND CHAT ROOMS.

    (d) Privacy. You should carefully read our full Privacy Policy before deciding to become a Member of CM Connect. Please note that certain information, statements, data and content (such as photographs) which you may choose to provide might, or are likely to, reveal your gender, ethnic origin, nationality, and/or religion, and that you are providing all such information, statements, data and content in full acknowledgment thereof and under your sole responsibility. By providing such information to us, all of which is optional, you are hereby expressly giving your informed consent to the processing by us of such “sensitive” data.

    (e) Links to Third Party Websites/ Dealings with Advertisers. The Site may contain links to World Wide Web sites of third-parties, including without limitation, advertisers and sponsors, which are not under the control of the Company. You acknowledge and agree that the Company is not responsible or liable for the content of any banner ads, linked site or any link contained in a linked site, or any changes or updates to such web sites. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Site are solely between you and such advertiser. You further acknowledge and agree that the Company will not be responsible or liable, directly or indirectly, for any loss or damage caused or alleged to be caused by or in connection with the use of, or reliance upon, any such content, goods or services available on or through any such site, including the sharing of the information you supply to the Company with advertisers, or as the result of the presence of such advertisers on the Site.     (f) Third Party Content. CM Connect may also include articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the “Third Party Applications, Software or Content”). If you decide to leave CM Connect and access the Third Party Sites or to use or install any Third Party Applications, Software or Content, you do so at your own risk and you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from CM Connect or relating to any applications you use or install from the site.

  12. Representations, Warranties and Covenants of Member. Each Member hereby represents, warrants and covenants to the Company as follows:

  13. (a) All information posted by you on your Member page (“Member Page”) shall be true and correct, and it shall be your sole responsibility to update such information on a regular basis. You are solely responsible for the content that you publish or display (hereinafter, “post”) on the Site, including content posted in any CM Connect Group (as defined below), or transmit to other Members. If information provided by you to the Company, or to another Member, subsequently becomes inaccurate, misleading or false, you will promptly notify the Company of such change. You understand and agree that the Company may review and delete any content, messages, double-blind emails, photos, videos, profiles, music or other items posted by you on the Site (collectively, “Content”), in each case in whole or in part, that, in the sole judgment of the Company, violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of other Members.

    (b) By posting Content to any public area of the Site, you automatically grant, represent and warrant that you have the right to grant, to the Company, its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing. You further represent and warrant that public posting and use of your content by the Company will not infringe or violate the rights of any third party.

    (c) You acknowledge that the Company does not accept onto the Site any Member Page or any postings that: (i) contains libelous, indecent, obscene or pornographic material, hate speech, highly explosive subject matter (as determined by the Company, in its sole discretion), or any illegal subject matter or activities; (ii) violates any law or regulation governing false or deceptive advertising, comparative advertising or trade disparagement; (iii) contains any misrepresentation, or content that is defamatory or violates any rights of privacy or publicity; (iv) infringes on any copyright, trademark, patent or other proprietary right, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated images, audio or video, or links to pirated images, audio or video files; (v) contains any “worm”, “virus” or other device that could impair or injure any person or entity; (vi) harasses or advocates harassment of another person; (vii) involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or “spamming;” (viii) contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page); (ix) provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under the age of 18; (x) solicits passwords or personal identifying information for commercial or unlawful purposes from other users; or (xi) engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes (collectively referred to as the “Prohibited Content”). Your Member Page shall not contain Prohibited Content, nor shall you post any Prohibited Content anywhere else on the Site.

    (d) You may not engage in advertising to, or solicitation of, other Members. This includes but is not limited to solicitation or advertising to buy or sell any products or services through the Site or to attend parties or other social functions or networking for commercial purposes. You may not transmit any chain letters or junk email to other Members. Although the Company cannot monitor the conduct of Members off the Site, it is also a violation of these rules to use any information obtained from the Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, we reserve the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which we deem appropriate in our sole discretion.

    (e) You shall not engage in any of the following activities: (i) use emails to persons other than those persons who have requested to receive emails (i.e., spamming); (ii) utilize auto-spawning browsers; (iii) cause or allow the automatic redirecting of visitors to any site; (iv) utilize blind text links or misleading links; (v) employ forced clicks (i.e., forcing a user to click on an item because the user’s browser has been hijacked, or because an item has been altered so that it is impossible to close without clicking it); (vi) falsely state, impersonate, or otherwise misrepresent his identity, including but not limited to the use of a pseudonym, or misrepresenting his current or previous positions and qualifications, or his affiliations with a person or entity, past or present; (vii) violate the CAN-SPAM Act of 2003 and all laws, rules and regulations governing deceptive trade practices and online marketing or advertising; (viii) harass or stalk anyone; (ix) post any content or initiate communications which include information that he does not have the legal or contractual right to disclose; (x) interfere with the operation of the Site, or any component thereof; (xi) express or imply that any statements you make are endorsed by the Company without our specific prior written consent; (xii) use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine,” or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents; (xiii) post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights; (xiv) remove any copyright, trademark or other proprietary rights notices contained in the Site; (xv) interfere with or disrupt the Site or the servers or networks connected to the Site; (xvi) post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (xvii) use meta tags or code or other devices containing any reference to the Site in order to direct any person to any other web site for any purpose; (xviii) modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Site or any software used on or for the Site or cause others to do so; (xix) utilize information, content or any data you view on and/or obtain from CM Connect to provide any service that is competitive, in the Company’s sole discretion, with CM Connect; (xx) rent, lease, loan, trade, sell/re-sell access to CM Connect or any information therein, or the equivalent, in whole or part; (xxi) access, via automated or manual means or processes, CM Connect for purposes of monitoring its availability, performance or functionality or for any competitive purpose; (xxii) attempt to or actually override any security component included in or underlying CM Connect; (xxiii) remove, cover or otherwise obscure any form of advertisement included as part of CM Connect; (xxiv) invite people with whom you have no prior relationship to join your network. (collectively referred to herein as “Prohibited Activities”).

    (f) You are solely responsible for any and all legal liability arising out of or relating to (i) your breach of any term or condition set forth in this Agreement, including, without limitation, your posting of Prohibited Content on your Member Page, in any CM Connect Group, or anywhere else on the Site, or engaging in any Prohibited Activity; (ii) the content and other material set forth on your Member Page; and (iii) any content or material to which visitors can link through your Member Page or any CM Connect Group. You hereby agrees to indemnify, defend and hold harmless the Company and its officers, members, directors, agents, employees and independent contractors from and against all claims, actions, liabilities, losses, expenses, damages, and costs (including, without limitation, reasonable attorneys’ fees) that may at any time be incurred by any of them by reason of any claims, suits or proceedings (a) for libel, defamation, violation of right of privacy or publicity, breach of contract, copyright infringement, trademark infringement or other infringement of any third party, fraud, false advertising, misrepresentation, product liability or violation of any law, statute, ordinance, rule or regulation throughout the world in connection with your Member Page or any CM Connect Group; (b) arising out of any breach by you of any representation, warranty or covenant under this Agreement; or (c) relating to a contaminated file, virus, worm, or Trojan horse originating from a posting made by you on your Member Page, any CM Connect Group, or anywhere else on the Site.

  14. NO WARRANTIES; LIMITATION OF LIABILITY. THE SITE’S SERVICES ARE MADE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS. WITH REGARD TO THE SITE OR ANY COMPONENT THEREOF, OR ANY MEMBER, MEMBER PAGE OR POSTING MADE BY ANY MEMBER, THE COMPANY MAKES NO WARRANTIES WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT INFORMATION DERIVED FROM THE SITE, DIRECTLY OR INDIRECTLY, WILL FULFILL ANY MEMBER’S PARTICULAR PURPOSES OR NEEDS, OR THAT SUCH INFORMATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. USE OF THE SITE SHALL BE AT EACH MEMBER’S OWN DISCRETION AND SOLE RISK AND THAT, AND EACH MEMBER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO HIS OR HER COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY MATERIAL FROM THE SITE. NEITHER THE COMPANY NOR ANY OF ITS SUBSIDIARIES, AFFILIATED COMPANIES, EMPLOYEES, SHAREHOLDERS, OR DIRECTORS (COLLECTIVELY, “AFFILIATES”) SHALL IN ANY EVENT BE LIABLE FOR ANY ACTUAL, SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST INCOME, LOST REVENUE, LOST PROFITS, OR ANY CLAIM OR DEMAND AGAINST ANY MEMBER BY ANY THIRD PARTY, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, REGARDLESS OF FORESEEABILITY AND EVEN IF THE COMPANY OR AFFILIATES ARE ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE COMPANY’S AND AFFILIATES’ LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO THE COMNPANY, DURING THE TERM OF MEMBERSHIP. IN ADDITION TO THE FOREGOING AND OTHER PROVISIONS OF THIS AGREEMENT, ANY ADVICE THAT MAY BE POSTED ON THE SITE IS FOR INFORMATIONAL AND NETWORKING PURPOSES ONLY AND IS NOT INTENDED TO REPLACE OR SUBSTITUTE FOR ANY PROFESSIONAL FINANCIAL, MEDICAL, LEGAL, OR OTHER ADVICE. THE COMPANY AND AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY CONCERNING ANY TREATMENT, ACTION BY, OR EFFECT ON ANY PERSON FOLLOWING THE INFORMATION OFFERED OR PROVIDED WITHIN OR THROUGH THE SITE. IF YOU ARE DISSATISFIED OR HARMED BY CM CONNECT OR ANYTHING RELATED TO CM CONNECT, YOU MAY LEAVE CM CONNECT AND TERMINATE THE AGREEMENT IN ACCORDANCE WITH SECTION 19 HEREOF AND SUCH TERMINATION SHALL BE YOUR SOLE AND EXCLUSIVE REMEDY. THE COMPANY IS NOT RESPONSIBLE, AND MAKES NO REPRESENTATIONS OR WARRANTIES FOR THE DELIVERY OF ANY MESSAGES (SUCH AS INMAILS, POSTING OF ANSWERS OR TRANSMISSION OF ANY OTHER MEMBER GENERATED CONTENT) SENT THROUGH CM CONNECT TO ANYONE. IN ADDITION, WE NEITHER WARRANT NOR REPRESENT THAT YOUR USE OF THE SERVICE WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES. ANY MATERIAL, SERVICE, OR TECHNOLOGY DESCRIBED OR USED ON THE WEBSITE MAY BE SUBJECT TO INTELLECTUAL PROPERTY RIGHTS OWNED BY THIRD PARTIES WHO HAVE LICENSED TO US SUCH MATERIAL, SERVICE, OR TECHNOLOGY.
  15. CM Connect Groups, and Group Managers and Moderators. Members may create and maintain their own “CM Connect Groups” within the Site. A “CM Connect Group” consists of (i) Internet-based discussions among Members who have similar interests or wish to stay in touch with friends and family, and (ii) other functionalities that enable participants in the group to communicate with each other. The Member who creates a CM Connect Group is the “Group Manager.” The Group Manager may invite up to three Group Moderators. The Group Manager and the Group Moderators are responsible for managing the CM Connect Group and the Member generated content (images, video, audio and other text postings). The Group Manager and the Group Moderator(s) are encouraged to set a positive tone for the CM Connect Group and to report to the Company any abuse or violation of these Terms of Use.
  16. In the Group Manager's sole descretion, he or she may:

    • decide whether the CM Connect Group is restricted to certain individuals or is accessible to the general public;
    • change the CM Connect Group’s access designation (whether restricted or public) at any time;
    • in restricted CM Connect Groups, decide who may be a participant, and the participant list may be changed at any time in the Group Manager’s discretion; and
    • any Member content posted to the CM Connect Group; and
    • recruit new Members to the CM Connect Group.
    In addition, the Group Manager may also transfer or delegate any of these decisions and/or responsibilities to another Member, who should be designated on the CM Connect Group home page as a successor Group Manager or as a “Group Moderator.”

    In the Group Moderator’s sole discretion, he or she may:

    • in restricted CM Connect Groups, decide who may be a participant, and the participant list may be changed at any time in the Group Moderator’s discretion;
    • delete any Member content posted to the CM Connect Group; and
    • recruit new Members to the CM Connect Group.
    In response to Member conduct in CM Connect Groups that violates these Term of Use, the Company may take any or all of the actions described herein, and/or the following actions with regard to the CM Connect Group:

    • delete an entire CM Connect Group;
    • change Group Manager or Group Moderator status;
    • block any participant from the CM Connect Group; or
    • deactivate or remove content and/or the CM Connect Group, without prior notice, if material or behavior is deemed inappropriate by the Company.
    Craigmichaelsconnect.com expects content (images, video, audio and other text postings) to be submitted to each CM Connect Group at least every 30 days. Craigmichaelsconnect.com reserves the right to deactivate or remove any CM Connect Group, without prior notice, if such group has less than 10 members and/or no new postings for the previous 60 days.

    If the Company determines that the Group Manager has created a CM Connect Group similar to an existing group, it may, in its sole discretion, deactivate or remove the duplicative CM Connect Group without prior notice.

    CM Connect Groups that attack a specific person or group of people (i.e. racial) will not be tolerated and will be removed. Creation of such a group will result in immediate termination of your Craigmichaelsconnect.com account.

  17. Links. The Site may provide, or third parties may provide, links to other World Wide Web sites or resources. Because the Company has no control over such sites and resources, you acknowledge and agree that the Company is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance upon, any such Content, goods or services available on or through any such site or resource.
  18. Inconsistency. In the event of any inconsistency between the Company’s Privacy Policy and this Agreement, this Agreement shall control.
  19. Modifications. The Company may modify this Agreement at any time, and without prior notice, by posting amended terms on the Site. Your continued use of the Site indicates your acceptance of the amended Agreement.
  20. Refusal of Service. The Company may prohibit any party to use the Site, or any reason whatsoever or for no reason.
  21. Disclosure By Law. You acknowledge and agree that the Company may disclose information you provide (including, without limitation, personal identifiable information) if required to do so by law, at the request of a third party (including, without limitation, law enforcement agencies), or if the Company, in its sole discretion, believes that disclosure is reasonable to (i) comply with the law, requests or orders from law enforcement; (ii) enforce this Agreement; (iii) protect or defend the Company’s, or a third party’s rights or property; or (iv) protect someone’s health or safety, such as when harm, violence or abuse against any person (including the Member) is threatened.
  22. Protection of Password and Account. You are responsible for maintaining the confidentiality of your password and account, and you shall be fully responsible for all activities that occur (with or without your knowledge) under your password or account. The Company shall not be liable for your failure to comply with the foregoing.
  23. Termination. You acknowledge and agree that the Company may, with or without cause, immediately terminate your account and access to the Site without prior notice. The Company is not required, and may be prohibited, from disclosing a reason for the termination of your account. Reasons for termination shall include, without limitation, (i) breaches or violations of this Agreement the Company’s policies as may be in effect from time to time, (ii) requests by any governmental agency, (iii) technical problems, and (iv) extended periods of a user’s inactivity. The Company may terminate your membership and/or subscription by sending notice to you at the email address you provide in your application for membership, or such other email address as you may later provide to the Company.If the Company terminates your membership because you have breached this Agreement, you will not be entitled to any refund of unused subscription fees, if any. All decisions regarding the termination of accounts shall be made in the sole discretion of the Company. Even after your membership or subscription is terminated, this Agreement will remain in effect. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination. You may terminate your membership and/or subscription at any time, for any reason, by following the instructions on the FAQ page of the Site, or by sending the Company written notice of termination to 15 Maiden Lane, 5th Floor, New York, New York 10038 (by certified mail, return receipt) or email notice of termination to support@craigmichaelsconnect.com. If you terminate your subscription, your subscription will remain active until the end of your then-current subscription period (that is, the subscription period through which you had paid prior to your termination).
  24. Blocking of IP Address. In order to protect the integrity of the Site, the Company reserves the right at any time in its sole discretion to block Members from certain IP addresses from accessing the Site.
  25. Copyright Policy. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.
  26. Member Disputes. You are solely responsible for your interactions with other Members. The Company reserves the right, but has no obligation, to monitor disputes between you and other Members. If there is any dispute or potential dispute as to whether Member Content was posted without necessary authorization or in violation of any third party’s rights, then the Company shall have the right, but is not obligated, to investigate the matter in any way it deems appropriate in its sole discretion. In addition, the Company may in its sole discretion take such action as it deems appropriate, including but not limited to suspending or terminating your account or your ability to access the website, and removing any Member Content. You agree to abide by and cooperate with the resolution of any dispute as determined by the Company.
  27. Privacy. Use of the Website and/or the Service is also governed by our Privacy Policy.
  28. Submissions for Postings. You do not have to submit anything to us, but if you choose to submit something (including any Member generated content, ideas, concepts, techniques and data), you acknowledge and agree that (i) by making postings on a Member Page, in any CM Connect Group, or anywhere else on the Site, or otherwise providing materials to the Company, you are granting the Company a royalty-free, perpetual, irrevocable, non-exclusive, unlimited, assignable, license to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, and use and commercialize, in any way now known or in the future discovered, anything that you submit to us, without any further consent, notice and/or compensation to you or to any third parties, (ii) the Company retains the right to reformat, excerpt, or translate any submitted postings; (iii) all information publicly posted or privately transmitted through the Site is the sole responsibility of the person from which such information originated and that the Company shall not be liable for any errors or omissions therein; and (iv) the Company may enter any Member Page, CM Connect Group, or other area of the Site at any time to remove any Prohibited Content or any other inappropriate material. By submitting any information to us, you represent and warrant that such submission is accurate, is not confidential, and is not in violation of any contractual restrictions or other third party rights. Prior to joining CM Connect, you must consider and decide, yourself, the extent to which you wish to reveal information about yourself to the large community of CM Connect Members and to CM Connect and you must not communicate to CM Connect and its Members any information the dissemination of which could be harmful to you.
  29. Activity Monitoring. Although the Company has the right to monitor activity and content associated with the Site, the Company is under no obligation to do so.
  30. Notices. We may notify you via postings on www.craigmichaelsconnect.com, and via email or any other communications means to contact information you provide to us.
  31. Governing Law and Jurisdiction. This Agreement shall be construed and enforced in accordance with the laws of the State of New York, without regard to the conflicts of law provisions of such State. The parties agree that federal and state courts having located within or having jurisdiction over Nassau County, State of New York, shall have exclusive jurisdiction over disputes arising hereunder, and all Members waive any defense of personal or subject matter jurisdiction in those courts.
  32. Serverability. If any provision of the Agreement is found to be invalid or unenforceable under mandatory laws of a particular jurisdiction, such provision shall be interpreted as to give maximum effect to its intended purpose and this shall not affect the validity or enforceability of (a) such provision under the laws of any other jurisdiction, or (b) any other provision of the Agreement.
  33. No Waiver. No waiver of any breach of any provision of this Agreement by the Company shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the Company.
  34. Entire Agreement. You agree that this Agreement constitutes the entire, complete and exclusive agreement between you and us regarding the Service and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of this Agreement.
  35. No informal waivers, agreement or representations. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches. Except as expressly and specifically contemplated by the Agreement, no representations, statements, consents, waivers or other acts or omissions by any Affiliate shall be deemed legally binding on any the Company or any other Affiliate, unless documented in a physical writing hand signed by a duly authorized officer of the Company.
  36. No Injunctive Relief. In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Service, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Service or any content or other material used or displayed through the Service.
  37. Beneficiaries. The Affiliates are not parties to this Agreement, but rather they are intended third party beneficiaries of this Agreement, with a right to enforce the Agreement directly against you.
  38. Assignment and Delegation. You may not assign or delegate any rights or obligations under the Agreement and any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under the Agreement, fully or partially.
